08 June 2011: TRILLIUM PARTNERS ADVISES BOOMERANG PLUS ON ITS ACQUISITION OF OXFORD SCIENTIFIC FILMS

Trillium Partners (Trillium), the independent corporate finance advisory firm, has advised Boomerang Plus plc (Boomerang), the AIM-listed TV production and media group, on the acquisition of Oxford Scientific Films Limited (OSF), a London based BAFTA and Emmy-award-winning producer of contemporary factual, natural history, science and history programmes.  The transaction was completed on 8th June 2011.

The transaction was structured such that Boomerang owns 70% of the equity of OSF and the OSF management owns 30%.

The Acquisition continues Boomerang's diversification strategy both in terms of its geographic presence and its customer base, particularly given the OSF Business's strong links with TV Networks in North America.  The Acquisition also provides access to an extensive back catalogue of programming and experience in exploiting programmes worldwide and strengthens the Boomerang's position in the Factual genre following the acquisition of Indus Films in October 2009.

Trillium specialises in M&A, financial restructuring and fund raising transactions and corporate finance advice. The firm has an expertise in TV production and distribution, providing support for clients as they undertake transactions to increase scale and profitability and position themselves to take advantage of the changes evolving within the industry.

It is estimated that in the 12 month period ended 30 June 2010 the OSF Business generated revenues of £2.2m and profit before tax of £0.1m.  For the year ended 31 May 2010 Boomerang reported revenues of £21.41m and operating profit of £0.8m.  The Board of Boomerang expects that the Acquisition will be earnings enhancing in the year ending 31 May 2012.
